Terms of service.

These Terms of Service (the "Terms") govern your access to and use of BTB Wholesale (the "App"), operated by BTB App Studio ("we," "us," "our"). By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

1. Definitions

• Merchant — the operator of a Shopify store that installs the App.
• Buyer — an end customer of a Merchant's Shopify store.
• App — the BTB Wholesale, including its admin interface, storefront integrations, and supporting infrastructure.
• Plan — the subscription tier you've selected (Free, Growth, or Scale).

2. Eligibility

You may use the App only if (a) you are at least 18 years old, (b) you have the legal capacity to enter into binding contracts, and (c) you operate a Shopify store in compliance with Shopify's Terms of Service.

3. Account and access

The App authenticates via your Shopify store credentials. You are responsible for maintaining the security of your Shopify account and for all activity that occurs under it.

4. Plans and billing

4.1 Subscription

BTB offers two paid plans: Growth ($8.99 / month or $80 / year — save 26%) and Advanced ($29 / month or $290 / year — save 17%). Both plans include a 7-day free trial. Feature availability differs per tier — see the pricing page for the current feature split.

4.2 Free trial

Both plans include a 7-day free trial. No credit card is required at install; Shopify's app billing system charges you at the end of the trial period unless you uninstall the App. You may cancel the trial at any time before it ends by uninstalling from your Shopify admin.

4.3 How billing works

All plans are billed through Shopify's app billing system on either a monthly or annual cadence, at your choice. Charges appear on your Shopify invoice alongside your Shopify subscription. The billing cycle starts the day the free trial ends (or the day you skip the trial and upgrade directly).

4.4 Refunds

Refunds are handled per Shopify's app billing refund policy. Contact us within 14 days of a charge for a refund review if you believe a charge was made in error.

5. Acceptable use

You may use the App to operate wholesale features on your own Shopify store(s). You agree NOT to:

• Reverse-engineer, decompile, or attempt to extract source code from the App
• Use the App to violate any applicable law or third-party right
• Attempt to access or interfere with the App's infrastructure outside the documented Shopify integration paths
• Resell, sublicense, or redistribute the App's functionality to third parties without our written consent
• Use the App in a manner that would breach Shopify's Acceptable Use Policy

6. Service availability

We target 99.9% monthly uptime but do not guarantee uninterrupted service. Scheduled maintenance is announced in advance when possible. We are not liable for downtime caused by Shopify, Cloudflare, or other upstream providers.

7. Your data and your buyers' data

Our handling of your data and your buyers' data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You confirm that you have all required consents from your buyers to process their data via the App for the purposes you've configured.

8. Intellectual property

The App, including all source code, design, and content (excluding your configuration data), is owned by BTB App Studio and protected by intellectual property laws. We grant you a limited, non- exclusive, non-transferable, revocable license to use the App during your active subscription.

You retain ownership of your configuration data and any content you create within the App (rule names, custom messages, etc.).

9. Disclaimers

The App is provided "as is" and "as available" without warranty of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement, except where prohibited by applicable law.

We do not warrant that the App will be error-free, secure, or uninterrupted. You use the App at your own risk.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, lost data, or business interruption, arising from or related to these Terms or the App, regardless of legal theory.

Our total aggregate liability arising from or related to these Terms or the App will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless BTB App Studio from any claims, damages, or expenses arising from (a) your violation of these Terms, (b) your violation of any third-party right (including IP, privacy, or contract rights), or (c) your use of the App in a manner not authorized by these Terms.

12. Termination

You may terminate at any time by uninstalling the App from your Shopify admin. Uninstalling automatically cancels your subscription.

We may suspend or terminate your access to the App if you breach these Terms or Shopify's Terms of Service. We will provide written notice when reasonable.

On termination: your subscription ends, your access to the App ceases, and your backend data is wiped within 48 hours per Shopify's GDPR processor requirements.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be announced via the BTB dashboard or email at least 30 days before they take effect. Your continued use of the App after the effective date constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION TBD by counsel], without regard to conflict of laws principles. Any dispute will be resolved through binding arbitration in [VENUE TBD], except that either party may seek injunctive relief in a court of competent jurisdiction for IP misuse or breach of confidentiality.

15. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App.
• Severability. If any provision is held unenforceable, the rest remain in effect.
• No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
• Assignment. You may not assign these Terms without our consent. We may assign in connection with a merger or acquisition.
• Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
